Your access and use of www.Coalfire.com (together with any mobile website, social media site, software, email exchanges, or mobile apps, and all of its subdomains and affiliated websites owned, operated, or maintained by Coalfire Systems, Inc. ("Coalfire," "we," or "us") are all hereinafter collectively referred to as “our site”), are subject to the following Terms of Use.

Overview
These Terms of Use constitute a legal agreement between you and Coalfire. By accessing or using our site, regardless of how you access our site (including through the internet, though a mobile network, or in any other manner) you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree, please refrain from using our site.
The term "you," as used in these Terms of Use, refers to any person or entity accessing or using our site.
By accessing or using our site, you also agree to comply with all applicable laws and regulations. Additionally, improvements or changes may be made to products, services, or other content displayed on our site at any time.
Important Note on Transactions
It's crucial to note that your use of any products or services obtained from Coalfire, as well as any transactions for the sale of products or services, are governed by the applicable Service Agreement, Software End User License Agreement, and other relevant terms available on our legal webpage www.coalfire.com/legal. These Terms of Use complement such terms and are in addition to any agreements that may apply to you.
In the event of conflicts between these Terms of Use and a Service Agreement or a Service Description, the latter shall supersede and govern the respective terms. Any claims and disputes arising under these agreements shall be subject solely to their terms and not these Terms of Use.
1. Your Privacy.
Your privacy is important to us. As you navigate through our site, please be sure to review Coalfire’s Privacy Policy. This document outlines how we collect, use, process, and protect data from you and your devices. As our services evolve, so may our Privacy Policy and you should revisit the Privacy Policy regularly to stay informed about updates and changes.
These Terms of Use also encompass our Data Processing Agreement (“DPA”) when the General Data Protection Regulation (“GDPR”) applies to your use of Coalfire Services for processing Customer Data (as defined in the DPA). The DPA, effective as of September 1, 2023, replaces and supersedes any previously agreed data processing addendum between you and Coalfire.
Coalfire employs industry-standard measures to ensure the security of your data. We are committed to safeguarding your information against unauthorized access, disclosure, alteration, and destruction.
2. Continuing Agreement
In our commitment to transparency, we reserve the right to modify these Terms of Use periodically. Any revisions made will be communicated by making the updated version available on our site, with the date of the last revision clearly indicated at the top of the page. To the fullest extent permitted under all applicable laws, encompassing various regulations and requirements, your continued access to or use of our site following any posted modification indicates your acceptance of the changes.
3. Intellectual Property
We are the owner or licensee of all copyrights, trademarks, service marks, trade names, trade dress, design rights, database rights, and all other intellectual property rights in the content of our site unless otherwise stated. The use of these marks without the prior written permission of Coalfire is strictly prohibited. All other names, logos, product and service names, designs and slogans on our site are the trademarks of their respective owners. You agree not to use any robot, spider, site search/retrieval application, or other manual or automatic device to retrieve, index, "scrape," "data mine," or gather content from our site. Additionally, you must not reproduce or circumvent the navigational structure or presentation of our site without our express prior written consent.
We grant operators of public online search engines limited permission to use search retrieval applications to reproduce materials from our site solely to create publicly available searchable indices of such materials for their public online search services. This permission is limited and does not apply to other uses. We reserve the right to revoke these limited permissions either generally or in specific instances.

Coalfire reserves the right to monitor User Contributions and may edit or remove them, in whole or in part, at our discretion. Coalfire is not obligated to use or respond to any User Contributions and disclaims responsibility for their content.
5. Copyright Complaints
In adherence to the Digital Millennium Copyright Act (“DMCA”), Coalfire maintains a responsive policy to address notices of alleged copyright infringement. If you suspect that materials accessible on or from our site infringe on your copyright, you can initiate the removal request by contacting Coalfire’s designated copyright agent with a DMCA Notice.

6. Disclaimer of Errors
Occasionally, our site may inadvertently feature technical inaccuracies or content errors. Coalfire does not guarantee the accuracy of any posted information. 15. Indemnity
By using our site, you undertake to accept responsibility for any third-party claims against Coalfire arising from your actions. You agree to defend, hold harmless, and indemnify us from any and all claims, damages, costs, debts, losses, liabilities, obligations, injuries, and expenses, including reasonable attorney's fees and costs. These may arise from your use of and access to our site, any violation by you of these Terms of Use, any infringement by you of any third-party right, and any claims against you asserting that your submission caused damage to a third party.
Furthermore, you agree to indemnify and waive any rights to the contrary against Coalfire for claims that you or a third party may assert based on your use of our site. It's important to note that these claims may exist at the time you accept these Terms of Use but are either unknown or unsuspected at that time.
16. Client Feedback, Queries, Complaints, and Dispute Resolution
16.1 Contact Information. For feedback, general questions, or support, please contact us at support@coalfire.com. For legal documents, including civil subpoenas and complaints, Coalfire requires service through our registered agent for service of process. For any law enforcement agency requests, please visit our Guidelines for Law Enforcement page.
16.2 Formal Complaint Process. If you have a complaint with Coalfire, you commit to first reaching out to our support team to attempt an amicable resolution. In the event the dispute remains unresolved through Coalfire Support, you agree to initiate the Formal Complaint Process before filing any arbitration claim or small claims action. Completion of this process is mandatory before pursuing arbitration or a small claims action. Failure to complete it renders your claim or action subject to dismissal from arbitration or small claims court.
16.21 Procedural Steps. Should the dispute persist beyond your initial contact with Coalfire Support, follow the procedural steps outlined below:
(a) Submit a written complaint via mail or postal mail, including comprehensive information about your complaint, desired resolution, and relevant details such as your support case number.
(b) Upon submission, we will acknowledge receipt of your complaint form. Our Legal & Compliance Team will review and evaluate your complaint based on the provided information and Coalfire's records.
(c) The Formal Complaint Process concludes either upon Coalfire's response to your complaint or forty-five (45) business days after we receive your complaint, whichever comes first.
17. Entire Agreement and Applicable Law
Unless otherwise mandated by law, these terms are governed by the laws of the State of New York, United States of America. In the event that any term within these Terms of Use is deemed unenforceable by competent judicial authority in any respect, the validity of the remaining terms will remain unaffected. This preservation of validity is contingent upon the unenforceability not materially impacting the parties’ rights under these Terms of Use.

- Legal Compliance and Protections: We may disclose account and other personal data when we believe disclosure is necessary to comply with the law or to protect the rights, property, or safety of Coalfire, our users, or others. This includes exchanging personal data with other companies and organizations for fraud protection and credit risk reduction.
- Corporate Transactions: We reserve the right to disclose and transfer your data, including your personal data:
- To a subsequent owner, co-owner, or operator of the Site or successor database.
- In connection with a corporate merger, consolidation, bankruptcy, the sale of substantially all of our membership interests and/or assets or other corporate change, including to any prospective purchasers.
4. HOW WE PROTECT THE PERSONAL DATA WE COLLECT
The security and confidentiality of your personal data is important to us. We have technical, administrative, and physical security measures in place to protect your personal data from unauthorized access or disclosure and improper use.
For example, we use Transport Security Layer (TSL) encryption to protect the data collection forms on our Site. In addition, access to customer information is restricted to authorized personnel only. Only employees who need the personal data to perform a specific job (for example, a customer service representative) are granted access to personal data. Employees with access to personal data are kept up-to-date on our security and privacy practices. Credit card numbers are used for payment processing and automatic renewals where applicable, and are not retained for other purposes.
It is important for you to protect against unauthorized access to your password and to your computer. Be sure to close your browser after you have completed your visit to the Site.
Please note that despite our reasonable efforts, no security measure is ever perfect or impenetrable, so we cannot guarantee the security of your personal data.

Managing Cookies and Other Data Collection Technologies: You have a number of options to control or limit how we and our vendors use Cookies and other technologies including for advertising:
- To prevent your data from being used by Google Analytics, you can install Google’s opt-out browser add-on.
- To opt out of interest-based advertising, you can visit http://optout.networkadvertising.org/#!/ and follow NAI’s on-screen instructions. Note that if you opt out through the NAI, you will still receive advertising, but the advertising will not be tailored to your interests. In addition, if you opt out through NAI and later delete your cookies, use a different browser, or buy a new device, you will need to opt out of interest-based advertising again.
- To opt out of ads on Facebook or Google that are targeted to your interests, use your Facebook, LinkedIn, or Google Ads settings.
- Check your mobile device for settings that control ads based on your interactions with the applications on your device. For example, on your iOS device, enable the “Limit Ad Tracking” setting, and on your Android device, enable the “Opt out of Ads Personalization” setting.

CALIFORNIA ONLINE PRIVACY PROTECTION ACT COMPLIANCE/YOUR CALIFORNIA PRIVACY RIGHTS

6. INFORMATION SPECIFIC TO NON-U.S. USERS
a) All locations outside of the United States
The personal data collected through the Site is downloaded to a server maintained by Coalfire. Coalfire is located at AWS-East-01 in the United States. Coalfire will comply with requests to exercise individual data rights in accordance with applicable law. You can contact privacy@Coalfire.com to request to exercise your data rights.
b) European Economic Area and Switzerland
The information in this section, as well as the information in the section above titled “All locations outside of the United States”, applies to users in the European Economic Area and Switzerland (collectively, the “EEA”).
Individuals in the EEA (“EEA Individuals”) are not required by statute or by contract to provide any personal data to the Site. Coalfire sometimes uses EEA Individuals’ personal data submitted through the Site for automated decision-making. For example, Coalfire may display advertisements and send emails to you containing content automatically chosen based on the products you have ordered from us in the past. However, Coalfire will not use EEA Individuals’ personal data submitted through the Site for automated decision-making, including profiling, which produces legal effects or similarly significantly affects the EEA Individual.
Cross-Border Data Transfers:
The personal data collected through the Site will be transferred to the United States. The recipients of personal data collected through the Site (listed in Section 3 above) are located in the United States or in the country where the data was collected. The European Commission has not issued a determination that the United States ensures an adequate level of protection for personal data.
Legal Bases For Processing:
Coalfire processes your personal data with your consent and as required by law. In addition, Coalfire processes your personal data as necessary for the performance of the sales contract, for example, when processing your requests, and to take steps, at your request, before entering into a contract with you. For example, if you ask us for quotes for products and services you are interested in buying, we may send them to you. Coalfire also processes personal data as necessary for its legitimate interests as follows:
- Marketing and advertising: Unless you opt out as described below, we use your personal data regarding products and services you have ordered, or in which you have otherwise demonstrated an interest, as necessary to provide you information about the products and services that we think might interest you in accordance with applicable law.
- Network and information security, fraud prevention, and reporting suspected criminal acts: In the event of fraud, a security incident, or a suspected criminal act, we would examine personal data that appeared to be linked to the incident as necessary to determine what happened, remediate, report to the authorities, and prevent a recurrence.
Right to Object to Processing for Direct Marketing or Legitimate Interests:
EEA Individuals have the right to object to the processing of their personal data for purposes of Coalfire’s direct marketing or legitimate interests by contacting Coalfire at privacy@Coalfire.com.
Data Retention
We retain your personal data for the duration of the customer relationship, if any. We also retain your personal data for 12 months after our last interaction with you.
Individual Rights:
EEA Individuals have the right to access their personal data collected by the Site and to request that Coalfire update, correct, or delete their personal data as provided by applicable law. EEA Individuals also have the right to object to, or restrict, Coalfire’s processing of their personal data.
In addition, EEA Individuals have the right to data portability concerning their personal data. Subject to certain limitations, the right to data portability allows EEA Individuals to obtain from Coalfire, or to ask Coalfire to send to a third party, a digital copy of the personal data that they provided to the Site. EEA Individuals’ right to access their personal data includes their right to receive a copy of all, or a portion, of their personal data in Coalfire’s possession as long as Coalfire’s providing the personal data would not adversely affect the rights and freedoms of others.
EEA Individuals can exercise these rights by contacting privacy@Coalfire.com. Coalfire will respond to such requests in accordance with applicable data protection law. If EEA Individuals believe that their personal data has been processed in violation of applicable data protection law, they have the right to lodge a complaint with the relevant data protection authority in the country where they reside, where they work, or where the alleged violation occurred.
EEA Individuals may use the contact information above, at any time, to withdraw their consent for the processing of their personal data where Coalfire requires their consent as a legal basis for processing their personal data. Any withdrawal will apply only prospectively, and Coalfire will continue to retain the personal data that EEA Individuals provided before they withdrew their consent for as long as allowed or required by applicable law.
In addition, you may cancel or modify the email communications you have chosen to receive from Coalfire by following the instructions contained in emails from us. Alternatively, you may visit http://www2.coalfire.com/unsubscribe/u/21732 and if your IP address is linked to your email address, you will instantly be unsubscribed from email communications. 7. CHANGES TO THIS PRIVACY POLICY
If we change this Privacy Policy, we will post those changes on this page and update the Privacy Policy modification date above. If we materially change this Privacy Policy in a way that affects how we use or disclose your personal data, we will provide a prominent notice of such changes and the effective date of the changes before making them.
